Ms. Beadles said in addition to being the lowest price, the Western Star truck had the highest torque power and the best wheel base for the terrain in the Common 1 Road District. Miranda Beadles said the engine was of most concern with a 5 year total warranty and an additional 2 years on the engine. Tem, of Contract. This Agreement shall be effective as of July 1st, 2016 {the 'Effective DateD and shall remain in force-and effect.fwzthreen(3)-years> Thereafter, this Agreement shall automatically renew for additional tenns of one (1) year, each upon the same tenns and conditions as set forth herein, unless either party otherwise provides written notice to the other party at least ninety (90) days prior to a scheduled renewal. Notwithstanding the foregoing, either party may terminate this Agreement, based on a material, adverse economic change beyond such party's reasonable control, with sbdy (60) day's prior written notice. Upon termination of this Agreement, County shall immediately cease the use of any Equipment provided hereunder. 2. Equipment. This Agreement applies to the provision of inmate telephone services by ICS using Equipment either centrally located or within space provided by the County at each of the "Service Locations" listed on Exhibit A, attached hereto. The term «Equipment' is defined herein as telephone sets, computer systems and software, all as more fully described on Exhibit B, attached hereto. All Equipment shall be installed by properly trained personnel and ina good, workmanlike manner. Any Equipment of ICS installed upon the premises owned, leased or otherwise under the supervision of County, shall remain in atl respects the property of ICS. ICS reserves the right to remove or relocate any Equipment that is subjected to recurring vandalism or insufficient usage. ICS shall not exercise 0 such right of removal or relocation unreasonably and, in any case with at least thirty (30) days prior notice to County. Upon removal of Equipment by ICS, ICS shall restore the premise to its original condition, ordinary wearand tear excepted. 3. Alteration and Attachments. County shall not make alterations or place any attachments to Equipment and Equipment shall not be moved, removed, rendered inoperable or unusable, or made inaccessible to inmates or users by County without the express written permission of ICS. 4. Training. ICS shall provide on-site training pills internet-based training at no cost to County. Additional training may be provided upon County's request based on availability of ICS. 5. Call Rates. ICS shall provide collect calling services to End-Users, on both a pre-paid and post- billed basis, at the rates and charges set forth on Exhibit C, attached hereto. ICS reserves the right to establish thresholds for the level of collect call credit to be allowed by the billed consumer. Rates and charges may be subject to change based on an order or rule of a regulatory authority having applicable jurisdiction. 6. Commissions to County. ICS will install, operate and maintain Equipment at no charge to County. ICS will pay County the commission amounts set forth on Exhibit D, attached hereto (collectively the 'CommissionsD, in consideration of the County granting ICS exclusive rights for the installation and operation of Equipment servicing the Service Locations. No Commissions shall be paid to County on amounts relating to taxes, regulatory surcharges such as universal service fund, or other fees and charges not applicable to the billed calls. ICS will pay Commissions to County on a monthly basis on or before the first business day occuning 45 days following the end of the month in which such Commissions are earned or accrued. Such 0 Commissions shall be sent to the address designated by County or wired to an account designated in writing by County for such purpose. (Christian, MO) -CONFIDENTIAL - Page 1 of 10 The parties agree that all financial consideration for services hereunder is predicated on the rates and charges applicable at the time of execution and is, therefore, subject to adjustment based on any changes that may be required by any law, rule, tariff, order or policy (any of which, a "Regulatory ChangeD of, or governed by, a regulatory body having jurisdiction over the public communications contemplated herein. In the event that a Regulatory Change affects such rates and charges, the parties agree to enter into good faith negotiations to amend this Agreement in a manner that provides sumcient consideration to ICS for ongoing services, as well as complies with the Regulatory Change. If the parties cannot reach an agreement as to the amendment necessary within 30 days of public notice of the Regulatory Change, then either party may tenninate this Agreement with an additional 60 days' prior written notice. In addition, Commission rates are predicated on County maintaining an average daily inmate population consistent with the average of the three months preceding the Cutover Date and having access to telephones materially consistent with industry practice. 7. County shall: a. Advise ICS of any Services Location or related premise that has been closed. b. Throughout the term of this Agreement, including any renewal tenns, use ICS as its exclusive provider for atl matters relating to inmate telecommunication services. c. Reasonably protect the Equipment against willful abuse and promptly repon any damage, service failure or hazardous conditions to ICS. 0 d. Provide necessary power and power source, at no cost to ICS, and an operating environment with reasonable cooling consistent with general office use. e. Provide suitable space and accessibility for inmates' use of telephone services. f. Permit ICS to display reasonable signs furnished by ICS and not affix or allow to be affbed any other signs, equipment or information to the Equipment. g. Permit reasonable access by ICS to County's Service Locations as reasonably necessary for ICS to install, support and maintain the Equipment. h. Comply with all federal, state and local statutes, rules, regulations, ordinances or codes governing or applicable to the telephone services offered by ICS. 8. Law and Venue. The domestic law of the State of Missouri shall govern the construction: interpretation and perfonnance of this Agreement and all transactions hereunder. All disputes hereunder shall be resolved exclusively in state or federal jurisdictions located in Christian County of Missouri. 9. Notices. Any notice or demand required hereunder shall be given or made by mail, postage prepaid, addressed to the respective party at the address first set forth or referenced above unless otherwise communicated in writing. 10. Entire Agreement. This Agreement constitutes the entire Agreement between the parties and may not be modified or amended otherthan by a written instrument executed by both parties. Any orders placed by County hereunder shall be incorporated herein by mutual consent of the parties and shall supplement but not supersede the provisions of this Agreement. The County represents and warrants that it has the legal authority to make decisions concerning the provisions of space for telephones placed by ICS at the Service Locations covered by this Agreement and that ICS may rely thereon. ICS shall relieve County of all risk of loss or damage to Equipment during the periods of transportation and installation of the Equipment However, County shall be responsible for any loss or damage to Equipment located on the premise caused by fault or negligence of County, its employees or others under County's supervision. 12. Default. In the event either party shall be in breach or default of any terms, conditions, or covenants of this Agreement and such breach or default shall continue for a period of thirty (30) days after the giving of written notice thereof by the other party, then, in addition to all other rights and remedies at law or in equity or otherwise, including recovering of attorney fees and court cost, the non-breaching party shall have the right to cancel this Agreement without charge or liability. The waiver of any default hereunder by either pany shall not constitute, or be construed as, a waiver of any subsequent default. 13. Assignment This Agreement may be transferred or assigned, in whole or in part, by ICS to any parent, successor, subsidiary, or affiliate of ICS. ICS may sub-contract any portion of its duties hereunder provided, however, it shall remain at all times responsible for such sub-contracted duties. This Agreement may otherwise only be transferred or assigned by a party with the written consent of the other party, which consent shall not be unreasonably withheld or delayed. 14. Relationship. The parties hereto are independent contractors and this Agreement shall not be construed as a contract of agency or employment Each party shall be solely responsible for compliance with all laws, rules and regulations and payment of all wages, unemployment, social security and any taxes applicable to such party's employees. Each party represents and warrants that: (a) it is duly organized, validly existing and in good standing under the laws of the jurisdiction of 0 its fonnation; (b) the execution, delivery and performance of this Agreement has been duly authorized by all necessary corporate actions; and (c) its performance hereunder shall be in compliance with applicable state and federal legal and regulatory requirements. 15. Indemnification. Each party shall indemnify, defend and hold harmless the other party from and against any and all claims, losses, injuries, or demands asserted by third parties (collectively 'Claims") arising from the material breach, negligent acts or misconduct of such indemnifying party, its agents or employees, in the perlbnnance of any of its obligations hereunder. Except for the foregoing express indemnification, each party shall bear its own liability and costs of defense for any third party claims. 16. Force Majeure. Either party may suspend all or part of its obligations hereunder and such party shall not otherwise be held responsible for any damages, delays or performance failures caused by acts of God, events of nature, civil disobedience, military action or similar events beyond the reasonable control of such party. 17. Severability. If any of the provisions of this Agreement shall be deemed invalid or unenforceable under the laws of the applicable jurisdiction, such invalidity or unenforceability shall not invalidate or render unenforceable the entire Agreement, but rather the entire Agreement shall be construed as if not containing the particular invalid or unenforceable provision or provisions, and the rights and obligations of ICS and County shall be construed and enforced accordingly. 18. Special ADA. ICS will install Equipment in accordance with the Americans with Disabilities Act and any related federal, state and local regulations in effect at the time of installation. ICS shall make any alterations to the Equipment as necessary for its correct operation and/or compliance with applicable laws at no cost to County. 3 19. Umitation of Liability. IN NO EVENT WILL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY LOSS OF PROFITS, LOSS OF USE, LOSS OF GOODWILL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES REGARDLESS OF THE FORM OF ANY CLAIM, WHETHER IN CONTRACT OR IN TORT OR WHETHER FROM BREACH OF THIS AGREEMENT, (Christian, MO) - CONFIDENTIAL - Page 3 of 10 r f 0-, IRRESPECTIVE OF WHETHER SUCH PARTY HAS BEEN ADVISED OR SHOULD BE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. 20. Warranty. Subject to County's compliance with its obligations hereunder, Equipment shall be free from defects in wommanship and material, shall conform to ICS' published specifications in effect on the date of delivery or as otherwise proposed to County in writing, and shall not Infringe any patent or trademark. This warranty shall continue while Equipment is in operation at each Service Location. County shall provide ICS with prompt written notification as to the specifics of any nonconformity or defect and ICS shall have a commerdally reasonable timeframe to investigate such nonconformity or defect. As County's sole and exclusive remedy, ICS shall, at ICS' sole option and expense, either: (a) correct any nonconformities or defects which substantially impair the functionality of the Equipment in accordance with the aforesaid specifications; (b) use reasonable efforts to provide a work-around for any reproducible nonconformities or defects which substantially impair the functionality of the Equipment in accordance with the aforesaid specifications; © replace such nonconfonning or defective Equipment; or (d) promptly refund any amounts paid to ICS by County with respect to such nonconforming or defective Equipment upon ICS receipt of such nonconforming or defective Equipment ICS does not warrant that the operation of the Equipment shall be uninterrupted or error-free. No warlanty is made with respect to the use of Equipment on or in con- nection with equipment or software not provided by ICS. Equipment may contain recycled, refurbished or remanufactured parts which are equivalent to new parts. ICS makes no warranties or representations that it will solve any problems or produce any specific results. EXCEPT AS EXPRESSLY PROVIDED HEREIN, THERE ARE NO OTHER EXPRESS OR IMPLIED WARRANTIES AND ICS HEREBY DISCLAIMS ANY OTHER WARRANTIES INCLUDING, 0 WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR ANY PARTICULAR PURPOSE. THE FOREGOING SHALL BE THE SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO NONCONFORMING OR DEFECTIVE EQUIPMENT AND SERVICES. NOTHING CONTAINED HEREIN SHALL OBLIGATE ICS TO ENHANCE OR MODIFY THE SERVICES OR EQUIPMENT BEYOND THE SUBSTANTIAL FUNCTIONALITY INTIALLY ACCEPTED BY FACILITY, WHICH ACCEPTANCE SHALL BE DEEMED TO HAVE OCURRED UPON THE GENERATION OF CALL REVENUE. 21. No Hire/No Solicit. During the tenn of this Agreement, and for a period of six (6) months thereafter, neither party shall solicit or hire tile other party's employees, agents or representatives engaged by such party to perform work relating to this Agreement, without the express written consent of the other party. 22. Confidentiality. During the term of this Agreement, each party may disclose to the other certain proprietary infonnation including, without limitation, trade secrets, know how, software, source code, techniques, future product plans, marketing plans, inventions, discoveries, improvements, financial data, business strategies and the terms of this Agreement (collectively, "Confidential Information°) of a character identified by the disclosing party as confidential and that should reasonably have been understood by recipient, because of legends or markings, the circumstances of disclosure or the nature of the information itself, to be proprietary and confidential to the disdosing party. Each party and each of its employees or consultants to whom disclosure is made shall hold all Confidential Information in confidence, and shall not disclose such information to any third party or apply it to uses other than in connection with the perfonnance of this Agreement. Each party shall use the same degree of care that it utilizes to protect its own information of a similar nature, but in any event not less than reasonable duty of care, to prevent the unauthorized use or disclosure of any Confidential Information. A recipient may not alter, decompile, disassemble, reverse engineer, or 0 otherwise modify any Confidential Information received hereunder and the mingling of the Confidential Infonnation with information of the recipient shall not affect the confidential nature or ownership of the same as provided hereunder. The obligations of this paragraph shall survive termination of this Agreement for a period of three (3) years. (Christian, MO) -CONFIDENTIAL - Page 4 of 10 e 0 This Agreement shall impose no obligation of confidentiality upon a recipient with respect to any portion of the Confidential Information received hereunder which is: (a) now or hereafter, through no unauthorized act or failure to act on recipient's part, becomes generally known oravailable; (b) lawfully known to the recipient without an obligation of confidentiality at the time recipient receives the same from the disclosing party, as evidenced by written records; (c) hereafter lawfully furnished to the recipient by a third party without restriction on disclosure; or (d) independently developed by the recipient without use of the disclosing party's Confidential Information. Nothing in this Agreement shall prevent tile receiving party from disdosing Confidential Infomation to the extent the receiving party is legally compelled to do so by any governmental or judicial agency having jurisdiction. 23. Ucense to Use Software. With respect to the Equipment provided under this Agreement, ICS hereby grants to County a nontransferable, nonexclusive license to install, store, load, execute, operate, utilize and display (collectively, 'Use") the runtime versions of the Enforcer® software in performance of this Agreement including, where applicable to the purposes hereunder, such Use on computers owned by County. Such license is specific to the County and Service Location(s) for which the ICS Services are provided and may not be transferred other than through an authorized assignment of this Agreement. Upon the termination hereof, this license and all rights of County to Use the Enforcer® software will expire and terminate. County will not transform, decompile, reverse engineer, disassemble or in any way modify any of the Enforcer® software or otherwise determine or attempt to determine source code from executable code of any elements of the Enforcel® sonware. 24. Third Party Software. Third-party software licenses may be contained in certain software included 0 with equipment and may therefore require a click-through acceptance by any users. Such software licenses are incorporated herein by reference and can be made available upon request. 25. Taxes. He said the remodeling of the Historic Court House and the Planning and Development building is estimated to cost $264,000.00. The total amount for the two additional properties and the remodel will be approximately 1.134 million just to begin the process. We would like to be reimbursed as soon as possible. Mr. Dillingham asked are there additional items to be added to this amount with the bigger portion for the new building, for a total of 7.4 million? Presiding Commissioner Ray Weter presented the proposed floor plan for the Prosecutor's Building. Mr. Dillingham asked when will the new building be bid? Commissioner Weter said after the remodeling begins on this building the architects will prepare a proposal for October 2016. Jack Dillingham said reimbursement will not begin until after there is a permanent bid opening and it will be bid together at the same time. Mr. Dillingham said you want to 0 take the safer route and get an exact amount of the costs so we don't run short or over the amount set forth in the bonds. Presiding Commissioner Ray Weter said the seven million is what is in the document now and the projected costs are estimated at 7.75 million, and asked if it could be amended. Jack Dillingham said the general obligation amount will be picked after the bid opening, and we would want to wait until then to get the exact number. Mr. Dillingham recommended Paragon Architecture get their bid proposals prepared as soon as possible for the new building. Presiding Commissioner Ray Weter said there are pros and cons to each type of financing. 31Page JuIy Term Tuesday, July 5, 2016 11:20 AM Jack Dillingham said special obligation bonds are a very select group and have to be authorized under the laws, and the county will have to appropriate funds for the debt service. Jack Dillingham said as part of the county budget, appropriate funds will be obligated to pay each year. Mr. Dillingham said the county has credit rating of AA-, which is a good rating. Mr. Dillingham said the goal is to keep the rating which will keep good interest ratings and wouldn't want to spend down the fund balances in general revenue. Mr. Dillingham said special obligation bonds are simpler, less legal work and incur less fees, whereas certificates of participation have more costs up front. Mr. Dillingham said the county is authorized by law to use either special obligation bonds or certificates of participation but not all entities. Jack Dillingham said the City of Ozark is not authorized to use special obligation bonds so they have to do a certificate of participation. Mr. Dillingham and Michelle Bock recommended the county consider special obligation bonds. Mr. Dillingham said we need to amend and restate the resolution prior to purchasing the Mercy Clinic and the property to be used as a parking lot. Commissioner Weter asked Cheryl Mitchell to add the amendment to the order for a motion/vote to the Agenda for Thursday, July 7, 2016. Commission Weter said the reimbursement resolution needs to be amended to restate some verbiage in the resolution to include tax exempt financing and remove "not to exceed seven million". Michelle Bock said there are two primary methods: to have a public offering and hire an underwriter, or to sell the bonds; we can help you in the process or a competitive sale. Ms. Hart said there are many catch up reports that were not filed timely. Ms. Hart said we should be expecting revenues of $332,000.00 but only $5,000.00 has been received. Eastern Commissioner Sue Ann Childers asked if the inmate food expenditures have been reconciled and is the Sheriffstaying under his budget. Auditor Hart said she does not know where we are with the inmate food but Sheriff Cole is under budget on expenditures. Eastern Commissioner Sue Ann Childers said if everyone paid, would the revenues be behind? Lacey Hart said we wouldn't be behind, but sales tax revenue is down $38,000 for the year than what was budgeted. Ms. Hart said it varies throughout the course of the year and there are no guarantees. Eastern Commissioner Sue Ann Childers asked does everyone owe us? Auditor Hart said this would be a conversation with the Treasurer who has been in contact with the State of Missouri for reimbursements. Presiding Commissioner Ray Weter asked who files for these reimbursements? Lacey Hart said there are two reports that are filed with the state and the sheriff, and the Circuit Clerk files the reimbursement reports to the state. Ms. Hart said there is approximately $332,000.00 requested for reimbursements filed with the state. Lacey Hart said the COLE fund is hurting the most and these are preliminary numbers for the month of July. Ms. Hart said the Prisoner Board and I.N.S. has anticipated revenues of $ 65,000.00. Presiding Commissioner Ray Weter said this is the same story we heard in June. County Auditor Hart said General Revenue loaned the Sheriff$97,570.00, for the month ·ofJune. Presiding Commissioner Ray Weter said he is concerned that these funds are considered as loans, and how do you handle this at the end of the yearwhen you want to close out the books for 2016? County Auditor Lacey Hart said she also had thought about that and was looking at a D solution for the end of the year. She anticipates giving budget adjustments across the board to compensate for the lack of revenue for the Sheriff's Department. Eastern Commissioner Sue Ann Childers said regardless of the budget numbers submitted we would still have a problem because the state delays reimbursement payments. Lacey Hart said the reports were not filed on time and there has been a lot of turn over in the Sheriff's Department which may result in things falling through the cracks. County Auditor Hart said FEMA has not disbursed disaster reimbursement from last year's floods. Commissioner Childers asked a question about a Common 1 amount listed in the auditors report about the rental of dump trucks to have the free fill received by Common 1 Road District. Commissioner Childers said the Stone Hollow NID is almost finished. Commissioner Weter said there is an issue for off road fuel tax excise tax from an email from DOR that was received by Miranda Beadles. Commissioner Weter said the motor fuel refund is not for maintaining existing roads but for cutting in new roads. Ms. Hart described the red fuel versus the clear fuel. Ms. Hart said she wanted a copy of the email sent from DOR to Miranda but is really waiting for the rejection letter. Collector Nichols presented the 3rd quarter report for the his office. Collector Nichols said they are preparing for the tax sale to be held August 22, 2016. Collector Nichols said they had previously field the tax sale in the court room and the tax payers really liked it. Collector Nichols said if the court room is under construction or not available he would like to use the break room. Collector Nichols said they started with approximately 500 parcels and they have decreased the number to 130 to be sold at the tax sale. Mr. Nichols said the greatest amount of change in revenue collected is in General Revenue and the Common 1 Road District from the property tax levies. Collector Nichols said thus far the county levy has collected $ 770,000.00 in revenue. . Collector Nichols said his budget reflects an increase in labor costs due to moving to the break room as a result of the flood damage in his office. Mr. Nichols is concerned there will be a shortfall in the amount budgeted for wages but will make up the difference from his discretionary fund. Collector Nichols said he really likes the new flooring and praised Richard Teague for the great job he did on cleaning up the flood damage and getting the flooring installed in his office. Commissioner Weter asked Collector Nichols what his opinion was of the Pace Program. Collector Nichols said he was not in favor of the Pace Program because it would mean placing Henson property, making the collectors office a loan company. Collector Nichols said the majority of our properties in the tax sale are citizens that struggle paycheck to paycheck and they would be the ones that would be hurt the most. Mr. Nichols said if the Pace Program was implemented these properties would result in being sold at the tax sale because they car't pay the additional lien amount. Richard Teague, County Maintenance Supervisor, said there haye been several issues with the old cast iron sewer lines collapsing; and as a result the toilets cannot function: The sewer line needs to be replaced and a new trunk installed. Mr. Teague said the line coming out of the trunk line runs to a 90 degree angle, and there are tree roots growing into it and plugging up the sewer. mr. Teague said there is 110 feet of trunk line that will be opened to remove the ciog, but this problem will continue because the metal is rotting and falling off in sheets. It is clogging up the pipes, as wdll as the debris 0 attaching to the jagged edges left from the rotting pipes. Mr. Teague said the yard and possibly the sidewalk will have to be dug out to clean out the trunk line. Eastern Commissioner Sue Ann Childers asked, "Should we wait until Ozark decides to install new sewer lines?" July Term Thursday, July 14, 2016 8:50 AM Richard Teague said this problem needs to be addressed for the short term, but we need to fix it so we don't continue to have the sewer issue. He suggested having Miranda Beadles - County Road Engineer explore the options with him, determine what is needed, get a plan, then bid out the project and wait for dry ground to begin the project. Western Commissioner Bill Barnett proposed getting the drain, installing the clean-out, and replacing the pipes as a short-term solution. Mr. Yates said the Commission will need to approve the order. Mr. Amtower said he wants it and doesn't want it to go to Convoy of Hope because we don't share the same mission. Mr. Amtower said this is a big piece of equipment and he wanted to know if the County Commissioners had any interest and would consider acquiring it to be shared in the region. Mr. Davis said he has being dealing with a 8 year law suit that just ended. Mr. Davis said he had three cases where the court appointed his office to oversee the work. Unfortunately, there are no funds to pay expenses and if the estate is opened we have to hire an attorney when there is nothing in the budget to cover the costs. Mr. Davis said he has two older attorneys that have assisted him to chase assets to get money for the hospitals against Medicaid. Mr. Davis said when there is a private case, legal costs are incurred and he has a problem with getting attorneys to handle those cases. Mr. Davis said new legislation has been presented to update some antiquated probate laws. Mr. Davis said the new legislation would require a full time employee for every 50 cases, not including the Public Administrator. Mr. Davis said in addition, he would have to have on site visits for a11550 clients every month. Mr. Davis said that means more funding and deputies to split the case load. Mr. Davis said he would suggest having Susan Pathkiller be deputized to handle the increased work load.
